PRIVACY POLICY AND WEBSITE LEGAL NOTICES AGREEMENT

1. Agreement - This is an agreement between Reliable Business Solutions, Inc. (“Reliable”) and you, the user of this website (“Agreement”). Reliable reserves the right to revise this Agreement at any time, and your use of this website after such revision is posted thereon shall be deemed your consent and agreement to such revisions.


2. Copyright Notice - Reliable produces or maintains the Reliable websites. The entire contents of the Reliable websites are copyrighted by Reliable and protected by the copyright laws of the United States and other countries. Users may copy, download, or print materials contained in the websites for their own non-commercial use, provided that the above copyright notice appears in all copies and that both the copyright notice and this permission notice appear in supporting documentation, and that the name of Reliable is not used in advertising or publicity pertaining
to distribution of this documentation without specific, written prior permission from Reliable. The copying, downloading, printing, redistribution or republication of any material contained in the Reliable websites for any commercial purpose are prohibited without the express, written permission from Reliable. Unauthorized use is prohibited. All images used on the Reliable websites are owned or licensed by Reliable for use on the Reliable websites only. Nothing contained herein shall be construed as conferring any license or right under any intellectual property or trade secrets of Reliable.


3. Trademark Notice; Other Intellectual Property - Reliable Business Solutions, Inc. and any derivations therefrom, as well as the Reliable logo, are trademarks of Reliable. Trademarks or service marks identifying the products described in any of the Reliable websites are trademarks or service marks of Reliable. In addition, any program, publication, design, product, process, software, technology, information, know-how, or idea set forth on or in the Reliable websites may be the subject of certain intellectual property rights of Reliable, and use of the Reliable websites does not constitute any license or permission to use such intellectual property for any purpose.


4. Unsolicited Information and Ideas - Any communications you send to, post on, or otherwise transmit to the Reliable websites are on a non-confidential basis, and Reliable is under no obligation to refrain from reproducing, publishing, or otherwise using them in any way or for any purpose. Reliable shall be free to use the content of any such communications, including any ideas, inventions, concepts, or techniques for any purpose, including development, manufacture, market, and sale. The sender of any such communications to Reliable websites shall be responsible for the content contained therein.


5. Privacy Policy - This privacy policy describes Reliable’s current policies and practices with regard to personal data collected by Reliable through its websites. This privacy policy is independent from Reliable’s offline personal data collection practices. The term “personal data” refers to personally identifiable information about you, such as your name, birth date, e-mail address or mailing address, and any other information that is identified with you personally.

Personal Data Collected - Other than cookies, as described below, the only personal data Reliable currently collects through its websites is the information you voluntarily give Reliable when you use a Reliable website. For example, you may use our websites to contact Reliable with questions and comments. When you fill out a form on an Reliable website, you may provide your name and other contact information, including your company’s name, your e-mail address, and your mailing address or the mailing address of your company or other personal information.

10. Disclosure of Your Personal Data - Reliable may share some or all of the personal data collected through its websites with its suppliers, who use this data in accordance with this Agreement. Reliable and its suppliers may use this information to contact you in the future to tell you about products or services believed to be of interest to you. Reliable may share personal data collected through our websites with third-party vendors who act for or on behalf of Reliable (for example, companies that provide support services to Reliable, including data processing services, or that help us market our products and services). These companies may need information about you in order to perform their functions. These companies are not authorized to use the information Reliable shares with them for any other purpose. In addition, there may be some other, limited circumstances in which Reliable may share or transfer the personal data in its databases, for example, to comply with a legal requirement, for the administration of justice, to protect your vital interests, or in the event of a corporate sale, merger, reorganization, dissolution, or similar event.

While no method of data transmission is guaranteed against unlawful third party interception or other misuse (for example, e-mail sent to or from Reliable websites may not be secure), Reliable uses commercially reasonable efforts to ensure protection of your data from unauthorized access or disclosure.


11. Children - Reliable does not knowingly collect personal data from children under the age of thirteen. If you are under thirteen, please do no give us any personal data. If you have reason to believe that a child has provided personal data to Reliable, please contact Reliable, and Reliable will try to delete that information from its databases. Reliable’s websites may contain links to websites that are not operated by Reliable. These links are provided for your reference and convenience only and do not imply any endorsement of the activities of these third-party websites or any association with their operators. Reliable does not control these websites and is not responsible for their data practices. Reliable urges you to review the privacy policy posted on any site you visit before using the site or providing any personal data about yourself.


12. Registered Users - In the event you register with any Reliable website in order to obtain services from Reliable, such as online backup, and online storage, sharing, and collaboration, Reliable may require various information from you in order to provide such services, including first and last names, passwords, email accounts, physical addresses, and credit card details (for purpose of processing payments). If you are a registered user, you agree that Reliable may use the information you provide to Reliable for purposes of providing services to you, as well as the other purposes set forth above. Reliable will not, without your permission, view any files you backup using Reliable’s services, but will, on occasion, view the file system information (file extensions, sizes, and other information not consisting of file contents) in order to provide technical support. In the event you cancel any Reliable services, your information will be retained in Reliable’s archive and backup records.


13. Security Measures - Reliable uses reasonable security measures to protect against the loss, misuse, alteration, and unauthorized access and use of your information, but such efforts shall not be considered a guarantee against loss, misuse, alteration, or unauthorized access and use by “crackers,” “hackers,” and others that unlawfully obtain access to that information. Reliable shall have no liability to you for loss, misuse, alteration, or unauthorized access and use of your information.

Reliable makes no representations or warranties that access to our websites will be available on a continuous or timely basis, or will be error free. In no event shall Reliable or its officers, directors, or employees be liable for any incidental, consequential, direct, or indirect damages, even if informed in advance of the possibility of such damages. Reliable has not reviewed the accuracy of the content of any websites linked to any of our websites. No endorsement of websites linked to our websites is made, either express or implied. Use of such links is at your own risk. Use of the Reliable websites in connection with products or services provided by Reliable is further subject to all provisions of the Reliable Business Solutions, Inc. Terms and Conditions, are hereby fully adopted and incorporated herein.

TERMS AND CONDITIONS:


1. Contract - The provision of any products, services, or combination thereof by Reliable Business Solutions, Inc. (“Reliable”) to the customer (“Customer”) are governed solely by: (a) these Terms and Conditions; and (b) the work orders and purchase orders provided by Reliable to Customer, (a) and (b) collectively being the “Agreement.” Any additional, conflicting or inconsistent terms and conditions provided by Customer to Reliable shall be of no effect and are hereby objected to by Reliable. No waiver or amendment to these Terms and Conditions shall be binding upon Reliable unless expressly agreed to in writing by Reliable.


2. Payment - Products and services sold to Customer will be billed by Reliable on a monthly basis, with invoices being due and payable no later than 15 days after the date of such invoices. All past due amounts shall accrue interest at the rate of 2% per month. Customer agrees that Reliable may cease the provision of any products or services if any amounts due Reliable are more than 5 days past due. In the event Reliable must take any action to collect on past due amounts, Customer agrees to be responsible for all costs of collection, including but not limited to attorney’s fees.


3. Limited Warranty; Warranty Disclaimers - Reliable warrants that it will correct any services it performs that are not of the quality prevailing in its industry at the time such services are provided. Reliable further warrants that it will repair or replace any defects in Network Attached Storage (NAS) or Backup and Disaster Recovery (BDR) devices provided to Customer by Reliable, contingent upon Customer being current on all monthly service fees due Reliable for such NAS / BDR devices. Reliable’s sole obligation, and Customer’s sole remedy, with respect to the Reliable warranties set forth above, is the correction of its services, or repair or replacement of defects in NAS / BDR devices, whichever is applicable. Reliable agrees to pass through to Customer any assignable warranties provided by the manufacturer or developer of hardware and software sold to Customer, but Reliable itself shall not be deemed a warrantor under those warranties or any warranties provided directly to Customer by the manufacturer or developer.


EXCEPT AS SET FORTH ABOVE, RELIABLE DISCLAIMS ALL WARRANTIES ON ITS SERVICES AND ANY HARDWARE, SOFTWARE, OR OTHER PRODUCTS PROVIDED BY RELIABLE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.


The warranties provided by Reliable shall not apply in the event of any defect, error, or other circumstance caused in whole or in part by: (a) lack of maintenance, misuse, abuse, damage, theft, neglect, alteration, accident, tampering, viruses, or failure to timely seek repairs or corrections; (b) the use of third-party products or services; or (c) failure to follow instructions provided by Reliable or any manufacturer of products; or (d) failure to install updates, patches, fixes, and upgrades. Modification of an NAS / BDR device, including but not limited to the addition of software applications, memory, or hard drives, will void Reliable’s limited warranty on the NAS / BDR device.


4. Limitations on Liability - Reliable shall not be liable for, and hereby disclaims, any and all consequential and incidental damages arising out of or relating to services and products provided to Customer, including but not limited to loss or interruption of use, lost profits, lost or irretrievable data and information (including but not limited to information on backup systems provided by Reliable), and costs of cover, whether due to breach of warranty or negligence on the part of Reliable, its employees and contractors, regardless of whether or not Reliable has prior knowledge of such potential damages. Customer’s download of software and programs from an Reliable website is at Customer’s sole risk, including the risk of viruses and other destructive programming, lack of compatibility, and any errors contained therein. These limitations of liability are, to the extent application, independent of any warranties provided by Reliable, and shall survive any determination that an Reliable warranty or its remedy fails of its essential purpose. In no event shall Reliable’s liability to Customer or any other person or entity exceed the total amount paid by Customer to Reliable in the 3 month period immediately prior to the date of the loss in question. Customer acknowledges and agrees that the limitations on liability set forth herein are reasonable, and Customer covenants to obtain such insurance, at Customer’s cost, as it feels is necessary to protect itself from the risks and losses disclaimed herein.


5. Use of Websites - Customer’s use of websites maintained by Reliable is subject to the terms and conditions of Reliable’s Privacy Policy and Legal Notices Agreement, which is available on-line at https://www.reliable-usa.com/disclaimer/ Any use of an Reliable website by Customer, or download of any information from an Reliable website by Customer, is expressly made subject to Sections 3 and 4 of these Terms and Conditions.


6. Remote Access - The services that Reliable can provide include hardware, software, and general systems troubleshooting and maintenance, which services may require or make advisable Reliable or third-party technicians accessing (directly or remotely, with or without prior notification) computers used by Customer and Customer’s employees and contractors. In the event Customer chooses to request that Reliable provide for these types of services, Customer acknowledges and agrees that Reliable and its third-party technicians shall not be liable for any lost data or information, system malfunctions, or other loss or damage arising out of or relating to such access, and the parties hereby expressly agree that such services are subject to Sections 3 and 4 of these Terms and Conditions. Customer agrees to indemnify, defend, and hold Reliable and its third-party technicians harmless from and against any claims, causes of action, damages, losses, and costs (including attorney fees) incurred by Customer’s employees or independent contractors that arise out of or relate to Reliable’s access to such employee or independent contractor’s computer.


7. Passwords - In connection with certain services provided by Reliable to Customer, Reliable and Customer may both maintain certain passwords required for the security of Customer’s computer systems, data, and information. While Reliable agrees to maintain the passwords in the ordinary course of its business, Customer is ultimately responsible for maintaining those passwords, and Reliable shall not be responsible for lost passwords resulting in inability to retrieve programs, data, and information of Customer.


8. Taxes - Unless otherwise noted, Reliable’s quotes for products and services do not include any applicable sales or other tax. Customer agrees to pay any and all taxes arising out of or relating to the sale of products or services to Customer by Reliable, and shall indemnify and hold Reliable harmless from and against such taxes.


9. Ownership of All Reliable Business Solutions Inc. Hardware - Reliable shall retain any and all ownership interest in any and all Reliable owned hardware devices provided to Customer, and Customer’s sole right in any Reliable owned hardware device is a license, revocable at any time by Reliable. Customer shall indemnify and hold Reliable harmless from and against any and all damage or loss (including theft) to a Reliable owned hardware device that is in the possession of Customer, including Reliable’s cost to replace such hardware device. Examples of Reliable owned hardware devices include, but are not limed to, Calyptix firewall routers, AccuPro MTAP network appliances, AccuPro server computers, and AccuPro BDR (Backup and Disaster Recovery) server computers.


10. Termination of Services and Product Orders - Customer may terminate services provided by Reliable at any time by written notice to Reliable. In the event of such termination, Customer shall immediately return to Reliable, at Customer’s cost and at Reliable’s direction, all hardware, software, and equipment owned by Reliable and licensed to Customer. Reliable may also, at its election, enter upon Customer’s premises during business hours and be granted access to all computer systems necessary to ensure that Customer no longer has access to any programs, software, and intellectual property of Reliable or its licensors. Orders of products from Reliable are cancellable only with the written consent of Reliable. In the event Reliable permits the cancellation of a product order, Customer shall reimburse Reliable for any costs incurred by Reliable prior to the date of cancellation.


11. License Agreements - The use of certain hardware, software, and programs provided by Reliable to Customer shall be subject to certain restrictions and other terms and conditions of a license agreement or agreement of similar scope, between Customer and Reliable or a third-party licensor. Customer agrees to abide by the terms and conditions of those agreements, and to indemnify, defend, and hold Reliable harmless from and against any and all claims or causes of action of any third-party licensor arising out of or relating to Customer’s alleged breach of such an agreement.


12. Confidentiality; Intellectual Property - During the course of the relationship between Customer and Reliable, Reliable may provide to Customer information of a propriety or confidential nature, including but not limited to trade secrets, copyrighted materials, software, and programs, and other intellectual property of Reliable (collectively, “Confidential Information”). Customer agrees not to disclose such Confidential Information to anyone except its employees with a need to use the Confidential Information for the purposes intended by the parties, and agrees to take reasonable steps to protect the secrecy of the Confidential Information. Customer further agrees not to reverse engineer or reproduce any of the Confidential Information, or use such Confidential Information outside the scope permitted from time-to-time by Reliable. The parties agree that these terms and conditions, and any pricing or other terms quoted by Reliable, constitute Confidential Information of Reliable.


13. Force Majeure - Reliable shall not be liable for any loss, damage, expense, delay, or default in performance caused by circumstances or conditions beyond its reasonable control, including but not limited to acts of God, government restrictions, wars, insurrections, labor disputes, and the unavailability or delay in the provision of goods or services of a supplier.


14. No Third-Party Beneficiaries - The Agreement between the parties are not and shall not be construed to be for the benefit of any persons or entities not a party thereto.


15. Governing Law; Exclusive Jurisdiction - The Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Ohio, without reference to conflict of law principles. Any claim arising out of or relating to the Agreement shall be subject to the exclusive jurisdiction of courts of competent jurisdiction in Shelby County, Ohio.


16. Severability - In the event any provision of the Agreement is found by a court of competent jurisdiction to be unlawful, invalid, or otherwise unenforceable, such provision shall be enforced to the maximum extent it is lawful, valid, and enforceable, and such provision, as amended, together with the remaining provisions of the Agreement, shall remain in effect.


17. Entire Agreement - The Agreement is the entire agreement of the parties with respect to the matters contemplated therein, and may not be amended or modified without the written consent of the parties thereto.


18. Billing - Reliable Business Solutions, Inc. reserves the right to bill and invoice Reliable customers, at Reliable’s discretion, for any and all services that are provided to Reliable customers, from a Reliable computer technician, via the Reliable remote control software, at any time.


19. Security - You understand and agree that no security solution is one hundred percent effective, and any security paradigm may be circumvented and/or rendered ineffective by certain malware, such as certain ransomware or rootkits that were unknown to the malware prevention industry at the time of infection, and/or which are purposely or intentionally downloaded or installed into the Environment. We do not warrant or guarantee that all malware or malicious activity will be capable of being detected, avoided, quarantined or removed, or that any data deleted, corrupted, or encrypted by such malware (“Impacted Data”) will be recoverable. Unless otherwise expressly stated in a Statement Of Work, the recovery of Impacted Data is not included in the scope of a Statement Of Work. You are strongly advised to (i) educate your employees to properly identify and react to “phishing” activity (i.e., fraudulent attempts to obtain sensitive information or encourage behavior by disguising oneself as a trustworthy entity or person through email), and (ii) obtain insurance against cyberattacks, data loss, malware-related matters, and privacy-related breaches, as such incidents can occur even under a “best practice” scenario. Unless a malware-related incident is caused by our intentionally malicious behavior or our gross negligence, we are held harmless from any costs, expenses, or damages arising from or related to such incidents, You are always recommended to obtain and maintain, and at your cost, cyber insurance covering at a minimum, the theft or misuse of private or confidential information, the breach of networked and managed security systems, and any failure to prevent the transmission of computer malware.


20. Legal Compliance - It is important for businesses to be aware of and compliant with relevant laws and regulations. It is the responsibility of the business to ensure compliance with these laws and regulations, and it is not the responsibility of a Reliable Business to ensure compliance on behalf of the business. If a business is not compliant with relevant laws and regulations, it may face legal consequences. It is important for businesses to conduct regular assessments of their operations to ensure compliance with relevant laws and regulations. If a business is unsure of its compliance with a particular law or regulation, it may be helpful to seek the advice of a qualified legal professional. Reliable Business is not providing any legal advice, but may assist a business in becoming compliant. The business agrees to “hold harmless” any actions Reliable Business may take in pursuit of the business becoming complaint with any laws or regulations.
