RELIABLE BUSINESS SOLUTIONS, INC. COMPANY DISCLAIMER, TERMS, AND CONDITIONS.
1. Agreement:
The provision of products and services by Reliable Business Solutions, Inc. (“Reliable”) to the customer (“Customer”) is governed solely by these Terms and Conditions and any related work or purchase orders (together, the “Agreement”). Conflicting or additional terms from Customer have no effect unless expressly agreed in writing by Reliable.
2. Payment:
Invoices are due within 15 days of issuance. Past-due amounts accrue 2% monthly interest. Reliable may suspend services for overdue accounts and Customer is responsible for all collection costs, including attorney fees.
3. Limited Warranty:
Reliable will correct services not meeting industry standards and repair or replace defects in Reliable leased devices if Customer is current on fees. Customer’s sole remedy is correction, repair, or replacement. Assignable manufacturer warranties are passed through; Reliable is not a warrantor. Warranties are void if issues arise from misuse, third-party products, failure to follow instructions, or unauthorized modifications. All other warranties, including implied warranties of merchantability or fitness, are disclaimed.
4. Limitation of Liability:
Reliable is not liable for incidental, consequential, or indirect damages, including lost data or profits, arising from products or services, whether or not Reliable was aware of potential damages. Liability is limited to amounts paid by Customer in the three months prior to the event. Customers are encouraged to maintain insurance to cover such risks.
5. Website Use:
Use of Reliable websites is subject to the Privacy Policy and Legal Notices Agreement. Downloading software or content from websites is at Customer’s risk. Reliable is not responsible for the functionality, availability, or content of third-party websites or services.
6. Remote Access & Passwords:
Services may require remote access by Reliable or third-party technicians. Reliable is not liable for data loss or system issues arising from such access. Customer indemnifies Reliable against claims from employees or contractors. Customers are responsible for maintaining passwords; Reliable is not liable for lost passwords.
7. Taxes:
Customer is responsible for all applicable taxes related to products or services.
8. Ownership of Hardware:
Reliable retains ownership of all hardware provided by Reliable; Customer receives a revocable license to use it. Customer is responsible for loss, damage, or theft, including replacement costs.
9. Termination & Product Orders:
Customer may terminate Reliable services with written notice. Hardware and licensed software must be returned at Customer’s cost. Product orders may only be canceled with Reliable’s written consent; Customer reimburses costs incurred prior to cancellation.
10. License Agreements:
Use of software and hardware is subject to applicable license agreements. Customer agrees to comply and indemnify Reliable against third-party claims related to license breaches.
11. Confidentiality & Intellectual Property:
Customer must protect all proprietary or confidential information of Reliable, including trade secrets, copyrighted materials, software, and programs, and may only use it for authorized purposes. Reverse engineering or unauthorized reproduction is prohibited.
12. Indemnification:
Customer agrees to indemnify, defend, and hold Reliable harmless from any claims, liabilities, damages, losses, or expenses arising from Customer’s use of Reliable products or services, violation of this Agreement, or infringement of third-party rights.
13. Force Majeure:
Reliable is not liable for delays or failures caused by circumstances beyond its control, including acts of God, government actions, labor disputes, or supplier delays.
14. No Third-Party Beneficiaries:
This Agreement benefits only the parties hereto; no third-party rights are conferred.
15. Governing Law & Jurisdiction:
The Agreement is governed by the laws of Ohio. Disputes are subject to exclusive jurisdiction of courts in Shelby County, Ohio.
16. Severability:
If any provision is found invalid or unenforceable, it shall be enforced to the maximum extent permissible, and remaining provisions remain in effect.
17. Entire Agreement
This Agreement, including all quotes, work orders, and purchase orders, constitutes the entire understanding between the parties and may only be modified in writing.
18. Billing & Security:
Reliable may invoice for services provided via remote access. Security measures are not guaranteed; malware or malicious activity may cause data loss. Customer is responsible for maintaining independent backups, educating employees on phishing and malware, and maintaining cyber insurance. Reliable is not liable for losses unless due to intentional misconduct or gross negligence.
19. Legal Compliance:
Customers are responsible for compliance with applicable laws and regulations. Reliable may assist but does not provide legal advice. Customer agrees to hold Reliable harmless for actions taken in the course of becoming compliant.
20. Customer Cooperation & System Changes:
Customer agrees to provide accurate information and reasonable access for Reliable to provide services. Reliable reserves the right to modify software, systems, or services to maintain security or performance, and is not liable for downtime or disruptions resulting from such modifications.
21. Emergency & Response Limitations:
Response times for on-site or urgent services are not guaranteed. Reliable is not liable for business interruptions resulting from delayed response.
22. Data Retention:
Reliable may retain certain Customer data for legal, regulatory, or business purposes even after services are terminated.

1. Agreement:
This Agreement governs your use of the Reliable Business Solutions, Inc. (“Reliable”) website. By using the site, you consent to this Agreement, as amended from time to time. Continued use after revisions constitutes acceptance. Users are responsible for reviewing these terms regularly.
